Terms of Service

1. What We Do

BankStatement Savvy converts PDF bank statements into CSV/XLSX/JSON/Markdown and provides related features (batching, filters, exports, API, etc.). We may add, change, or remove features from time to time.

2. Accounts & Eligibility

• You must be at least the age of majority in your jurisdiction and have authority to bind your organization if you sign up on its behalf.
• Keep your account credentials confidential and notify us of any suspected breach. You are responsible for activities under your account.

3. Your Content & Licenses

You're responsible for obtaining all necessary rights to upload/process the files and for complying with laws applicable to that data.

4. Prohibited Use

You will not:

• Upload malware or illegal content
• Attempt to reverse engineer, bypass limits, or probe security
• Resell or provide the Service to third parties except as allowed by your plan
• Use the Service to violate privacy, IP, export, financial, or sanctions laws
• Upload credentials or access codes unrelated to the files themselves

6. Lifetime Deals (If Offered)

From time to time we may sell lifetime access ("LTD"). LTDs are:

• Non-transferable, for one customer/workspace, and subject to fair use (e.g., page/credit caps per month).
• "Lifetime" means the lifetime of the product, not your lifetime. If we discontinue the product entirely, we'll provide not less than 12 months of core functionality from your purchase date or a reasonable pro-rata remedy at our discretion.
• LTDs include the features stated at purchase; future premium modules may be sold separately.

8. Accuracy, AI/OCR, and Your Responsibility

We use a combination of deterministic parsers, OCR, and (where enabled) AI normalization. Outputs can contain errors. You are responsible for validating results before using them in accounting, underwriting, tax filings, or any compliance workflow. The Service provides tools, not professional advice.

9. Uptime & Support

We strive for high availability and responsive support, but we do not guarantee uninterrupted service. Planned maintenance, provider incidents, or force majeure may affect availability. We'll post status updates when practical.

10. API Terms (If You Use the API)

• Keep your API keys secret.
• Respect rate limits and fair-use caps; we may throttle or suspend keys to protect the platform.
• Do not build a competing service using our API outputs at scale without our written consent.
• We may change or deprecate endpoints with reasonable notice.

11. Privacy & Data Protection

Your use is governed by our Privacy Policy (incorporated by reference). Key points:

• Controller/Processor roles as described in the Privacy Policy.
• Hosting primarily in the United States; cross-border transfers safeguarded as described (SCCs/DPF, etc.).
• Default retention: active subscribers retain files while subscribed; after cancellation, files/outputs are deleted within 30 days; billing data retained as required by law.
• Security measures aligned to GDPR Art. 32 (encryption in transit & at rest, access controls, monitoring).

12. Third-Party Services

The Service may depend on or link to third-party services (e.g., file storage, analytics, payment). We are not responsible for third-party terms or practices; your use of those is at your discretion and subject to their terms.

13. Intellectual Property

The Service, software, documentation, site design, and all related IP are owned by AEY or its licensors. Except for rights expressly granted to you under your plan, no rights are granted. You may submit feedback; you grant us a royalty-free, perpetual license to use feedback without restriction.

14. Beta/Experimental Features

Features labeled Beta, Labs, or similar are provided as-is, may be changed or withdrawn at any time, and may be subject to additional terms or limits.

16. Limitation of Liability

• AEY, ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.
• AEY'S TOTAL LIABILITY FOR ANY CLAIMS WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO AEY FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY OR USD 100, WHICHEVER IS GREATER.

Some jurisdictions don't allow certain exclusions; in that case, this clause applies to the fullest extent permitted.

17. Indemnification

You agree to defend, indemnify, and hold harmless AEY and its affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your content; (b) your use of the Service in violation of these Terms or law; (c) your violation of any rights of a third party.

18. Suspension & Termination

We may suspend or terminate accounts that violate these Terms, create security risks, fail to pay, or cause harm to the Service. You may terminate at any time by canceling your plan. Upon termination, your right to use the Service ends; certain sections survive (e.g., §§ 3, 8, 11–18, 20–22).

19. Export & Sanctions Compliance

You represent that you are not located in, under the control of, or a resident of any country or region subject to sanctions or on any restricted party list. You will not use the Service for prohibited end uses.

20. Changes to the Service or Terms

We may update these Terms. Changes will be effective when posted; material changes will be notified via email or in-app. Your continued use after changes become effective constitutes acceptance.

21. Governing Law & Venue

These Terms are governed by the laws of Kenya, without regard to conflict-of-laws rules. You agree to the exclusive jurisdiction and venue of the courts located in Nairobi, Kenya, except where mandatory consumer law grants you the right to bring claims in your local courts.

22. Miscellaneous

• Entire agreement: These Terms + the Privacy Policy (and any order form) are the entire agreement.
• Severability: If a provision is unenforceable, the remainder stays in effect.
• No waiver: Failure to enforce is not a waiver.
• Assignment: You may not assign without our written consent; we may assign in connection with a merger, acquisition, or sale of assets.
• Electronic communications: We may send notices electronically.
